Signal Field Contributor Agreement
Addendum to the Independent Contractor Agreement · Version 0.1.0 (DRAFT)
Effective Date: as of the date you accept this addendum
This Signal Field Contributor Agreement (this "Addendum") supplements the Claimitt Independent Contractor Agreement (the "ICA") and applies whenever you accept a Claimitt Signal reporting assignment (a "Mission"). Capitalized terms not defined here have the meaning given in the ICA. If this Addendum conflicts with the ICA, this Addendum controls for Signal Missions. By accepting a Mission, you agree to be bound by this Addendum.
1. Nature of the engagement
1.1 Freelance reporting. A "Mission" is a voluntary freelance reporting assignment or content request that may ask you to submit original media, public observations, or verification notes from lawful public locations. The Services under this Addendum are freelance journalism and content-licensing services.
1.2 You are not a public official or investigator. You are not, and you will not hold yourself out as, law enforcement, an emergency responder, a security guard, or a private investigator. You are not engaged to obtain information about crimes or wrongs, the identity or whereabouts of any person, a person's conduct or movements, the location of property, the cause of fires/accidents/injuries, or evidence for use in any proceeding. Those activities are outside the scope of every Mission and are prohibited.
1.3 Independent contractor. You perform Missions as an independent contractor, consistent with Section 1 of the ICA. You decide whether to be available, which Missions to accept or decline, and the means and manner of producing your submissions, subject to the safety rules below and Claimitt's published acceptance standards.
2. Voluntary assignments; control of your own work
2.1 Accept or decline freely. Every Mission offer may be accepted or declined at your sole discretion. Declining has no effect on your standing. There are no shifts, schedules, quotas, or minimum hours.
2.2 Your equipment, your availability. You use your own device(s) and equipment, set your own availability (including the "Go Online" control), and bear your own costs. Claimitt does not supply tools, uniforms, or a workspace and does not supervise your work.
2.3 No guarantee of Missions or income. Claimitt does not guarantee any volume of Missions or any minimum compensation.
3. Safety doctrine (mandatory)
3.1 Lawful public vantage only. You will report only from safe, lawful, publicly accessible locations. You will not enter private property, restricted areas, or any place you are not lawfully permitted to be.
3.2 Prohibited actions. You will not: cross police, fire, or EMS lines or any posted barrier; film victims, minors, or medical scenes close-up; chase or follow any person or vehicle; attempt to identify, surveil, or track any individual; confront anyone; interfere with responders, workers, traffic, or any lawful activity; or share tactical movements of responders.
3.3 Leave if unsafe. Your safety is your own responsibility and comes before any Mission. You will leave immediately if a situation is or becomes unsafe, and you will never put yourself or others at risk to complete a Mission. No Mission is worth your safety.
3.4 Assumption of risk; waiver. You accept and assume all risks of performing Missions and agree to the separate Field Mission Waiver, which is incorporated by reference. Conduct that violates this Section 3 disqualifies the submission from compensation and may result in suspension.
4. Scope limits (what a Mission is never for)
A Mission is limited to capturing original media and reporting on observable public conditions (for example, weather, traffic, road closures, infrastructure, fires from a safe distance, community events). A Mission is never an instruction to investigate, surveil, identify, locate, or track any person; to gather evidence for a legal proceeding; to enter private property; or to approach danger. Claimitt's safe-category controls enforce this, and any Mission you reasonably believe asks for prohibited activity must be declined and reported.
5. Eligibility
You represent that you are at least 18 years old, are legally permitted to perform the Services in your jurisdiction, and are not barred from doing so by law, court order, or the terms of any license you hold.
6. Content ownership, platform license, and rights enforcement
6.1 Your warranty. You represent that your submissions are your original work, captured by you, and that you have all rights necessary to grant the licenses below, and that they do not violate any law or any third party's rights.
6.2 Creator ownership; Claimitt license. You retain ownership of your submissions. For each accepted submission, you grant Claimitt and its authorized buyers a worldwide, royalty-bearing (as compensated under Section 8), sublicensable license to host, reproduce, distribute, display, edit for length/clarity, create previews, embed, watermark, preserve, and license your submission for news, reporting, verification, archival, marketplace, and related public-interest uses.
6.3 Authorized enforcement agent. For accepted submissions, you authorize Claimitt to act as your non-exclusive agent for provenance and rights-management purposes, including sending platform notices, copyright takedown notices, reupload reports, and other good-faith requests to remove or disable unauthorized downloads, rehosts, reuploads, or uses that strip attribution or falsely present the work as someone else's. Claimitt is not required to pursue every enforcement matter and may decline action where it determines, in good faith, that the use may be lawful, licensed, fair use, de minimis, or not worth pursuing.
6.4 Origin and off-platform distribution control. Unless a Mission states otherwise, accepted Signal content should be shared through Claimitt's native links, embeds, previews, or licensed delivery channels. For the commercial licensing window shown in the Mission or marketplace listing, you grant Claimitt the limited exclusive right to broker off-platform commercial licensing of that accepted submission so buyers receive a clear chain of rights and Claimitt can police unauthorized reuploads. You keep your copyright and any rights not expressly granted here.
6.5 Copyright management information. Claimitt may add visible watermarks, attribution, origin URLs, timestamps, location/context labels, metadata, and other copyright management information to accepted submissions. You agree not to remove or falsify Claimitt-provided attribution or provenance data.
6.6 Privacy obligations. You will avoid capturing identifiable bystanders, minors, medical details, license plates, and home interiors where reasonably avoidable, and you authorize Claimitt to blur or withhold such details before publication.
7. Location and device data
To verify Missions and match offers to your area, you consent to Claimitt's collection and use of your device location while you are online, and of location/time metadata embedded in your submissions. This data is used for dispatch, fraud prevention, and verification, as described in the Privacy Policy.
8. Compensation
8.1 Per accepted deliverable. You are paid in U.S. Dollars only when a submission meets the published acceptance standards, in the amount stated on the Mission. Compensation is for accepted deliverables, not for time, hours, or availability, and is paid through Claimitt's third-party payment processor.
8.2 Token separation. Signal compensation runs solely on the USD rail. It is never paid in, and cannot be exchanged for, CLMIT or any platform token.
8.3 No guarantee. Submissions that do not meet acceptance standards, that violate Section 3, or that fail integrity checks are not compensated.
9. Integrity and anti-fraud
You will not falsify location, spoof GPS, recycle or stage media, collude, or otherwise misrepresent a submission. Violations void compensation and may result in removal, recovery of amounts paid, and referral to authorities where unlawful.
10. Taxes
You are responsible for all taxes on amounts you earn. Claimitt will report payments as required (e.g., Form 1099-NEC/1099-K, where applicable). You are not an employee and receive no employee benefits.
11. Disclaimers; assumption of risk; limitation of liability
Missions are performed at your own risk. To the maximum extent permitted by law, Claimitt is not liable for any injury, loss, or damage arising from your performance of a Mission, and the limitations and indemnities in the ICA apply to this Addendum.
12. Termination
Either party may end this engagement at any time, consistent with the ICA. Sections concerning licensing, warranties, indemnification, taxes, and limitation of liability survive termination.
13. Incorporation
This Addendum incorporates the ICA, the Field Mission Waiver, the Privacy Policy, and Claimitt's published safety and acceptance standards. Except as modified here, the ICA remains in full force for Signal Missions.
