This Independent Contractor Agreement ("Agreement") is entered into between Claimitt, whose legal contracting entity will be identified in the final counsel-approved version ("Claimitt," "Company," "we," or "us"), and you ("Contractor," "you"). By clicking "Accept" on the Claimitt platform, you agree to be legally bound by the terms below.
1. Relationship of the Parties
1.1 Independent contractor. You acknowledge that you are entering into this Agreement as an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, joint venture, agency, or franchise relationship between you and Claimitt.
1.2 Control of work. You determine when, where, and how to perform the Services. Claimitt may set quality criteria and acceptance standards for Services submitted, but does not direct the means or manner by which you produce them.
1.3 No benefits. You are not entitled to any benefits Claimitt may provide to its employees, including health insurance, workers' compensation, unemployment insurance, retirement plans, paid time off, or fringe benefits.
1.4 No exclusivity. Nothing in this Agreement requires you to provide Services exclusively to Claimitt. You may work for any other party at your discretion, subject only to the Confidentiality provisions below.
2. Services
2.1 Description. The "Services" consist of submitting evidence, contradictions, and related contributions to the Claimitt platform in a manner that may, in Claimitt's sole discretion, qualify for compensation under Section 3. Services are information-finding services. They are not wagers, bets, predictions for prize purposes, or investment activities.
2.2 Acceptance standards. Each contribution is evaluated against published platform standards (including but not limited to source quality, originality, alignment with the eventual resolution of a claim, and information gain). Submissions that do not meet these standards are not compensated.
2.3 No guarantee of work or income. Claimitt does not guarantee any minimum volume of paid contributions or any minimum amount of compensation.
3. Compensation
3.1 Per-contribution compensation. Where a contribution meets the acceptance standards described in Section 2.2, Claimitt will credit your platform USD pending balance with an amount determined by Claimitt's published payout formula, which considers contribution quality, information gain, the magnitude of impact on the relevant uncertainty score, and alignment with the eventual resolution.
3.2 Payout method. You may request payouts from your pending USD balance to a bank account or eligible debit card you have linked through our payments partner, Stripe, Inc. ("Stripe"). Standard ACH payouts are made at no cost to you. Instant payouts incur a fee disclosed at the time of request.
3.3 No payment outside the platform. All compensation is paid through Stripe. Claimitt does not offer cash, check, money order, or cryptocurrency payouts.
3.4 Reversals and corrections. Claimitt may reverse, withhold, or recover any amount credited or paid in error, including amounts attributable to fraud, manipulation, collusion, violation of platform rules, or chargebacks. You authorize Claimitt to debit your pending balance to effect such recovery.
3.5 Reputation tokens are not compensation. CLMIT tokens (used to post content and other in-platform actions) are reputation credits with no cash value. They are not redeemable for money and are not part of the compensation provided under this Agreement.
4. Tax Status and Reporting
4.1 Independent contractor for tax purposes. You are responsible for paying all federal, state, and local income, self-employment, social security, and other taxes on any amounts received under this Agreement. Claimitt does not withhold income tax from payments to you except where required by the Internal Revenue Service's backup withholding rules.
4.2 Form W-9 / W-8. Before any payout, you agree to complete and submit a Form W-9 (if you are a U.S. person) or applicable Form W-8 (if you are a non-U.S. person) through the Stripe-hosted onboarding flow. Failure to do so, or the provision of incorrect taxpayer information, will result in 24% backup withholding being applied to your payments and remitted to the IRS until corrected.
4.3 Form 1099-NEC. If you receive $600 or more in compensation under this Agreement in any calendar year, Claimitt or its agent will report those amounts to you and to the IRS on Form 1099-NEC by January 31 of the following year.
4.4 Your sole responsibility. Nothing in this Agreement obligates Claimitt to provide tax advice. You should consult a tax professional regarding the treatment of amounts you receive.
5. Compliance and Verification
5.1 Identity verification. You agree to complete identity verification (KYC) through Stripe Identity or a substitute provider before your first payout. We may re-screen periodically as required by law.
5.2 Sanctions screening. You represent that you are not on, and are not owned or controlled by a person on, the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) Specially Designated Nationals list or any other applicable sanctions list. Claimitt will block payments to any person identified on such lists.
5.3 Age. You represent that you are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
5.4 Eligibility. At launch, this Agreement and the Claimitt payout system are available only to U.S. persons resident in the United States. International availability may follow.
6. Confidentiality
You agree not to disclose any non-public information about Claimitt's systems, methods, or data that you learn in connection with your Services, except as required by law. This obligation survives termination of this Agreement.
7. Intellectual Property
7.1 Your contributions. You retain ownership of any original content you submit. You grant Claimitt a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to display, reproduce, adapt, and otherwise use your contributions on the Claimitt platform and in related services.
7.2 Representations. You represent that you have all rights necessary to submit each contribution and that your contributions do not infringe the intellectual property, privacy, or publicity rights of any third party, and are not defamatory.
8. Termination
Either party may terminate this Agreement at any time, with or without cause, by ceasing to use the platform (in your case) or by closing your account (in Claimitt's case). Termination does not relieve either party of obligations accrued before termination, including Claimitt's obligation to pay any verified, accepted contributions in your pending balance subject to all conditions of this Agreement.
9. Disclaimers and Limitation of Liability
9.1 Services as-is. The platform is provided on an "as is" and "as available" basis. Claimitt disclaims all warranties, express or implied, to the maximum extent permitted by law.
9.2 Limitation. To the maximum extent permitted by law, Claimitt's aggregate liability under this Agreement is limited to the greater of (a) amounts owed to you in your pending balance at the time the claim arose, or (b) $100.
10. Indemnification
You agree to indemnify and hold harmless Claimitt and its officers, directors, employees, and agents from any claim, loss, or liability arising out of your contributions, your breach of this Agreement, or your violation of any law or third-party right.
11. Dispute Resolution; Arbitration; Class Action Waiver
11.1 Arbitration. Any dispute arising out of or relating to this Agreement, or breach thereof, will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.
11.2 Class action waiver. You and Claimitt agree that any dispute will be brought in the parties' individual capacity and not as a plaintiff or class member in any class or representative proceeding.
11.3 Small claims. Nothing in this Section prevents you from bringing an individual claim in small claims court.
12. General
12.1 Governing law. This Agreement is governed by the laws of the State of [TBD by counsel], without regard to its conflicts of laws principles.
12.2 Modification. Claimitt may modify this Agreement from time to time. Material changes will be communicated through the platform and will require renewed acceptance before further payouts. Continued use of paid services after the effective date constitutes acceptance of the revised Agreement.
12.3 Entire agreement. This Agreement, together with the Claimitt Terms of Service and Privacy Policy, constitutes the entire agreement between you and Claimitt regarding the subject matter herein.
12.4 Severability. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
12.5 No assignment. You may not assign this Agreement without our written consent. Claimitt may assign this Agreement freely.
